There are three Board committees: the Audit Committee, the Compensation Committee and the Health, Safety and Environment (HSE) Committee.
The Board Audit Committee
This committee assists the Board in fulfilling internal control and financial reporting, monitors compliance with legal and regulatory requirements, assesses the work of internal audit and monitors the effectiveness of the risk management and internal control system.
The Board Compensation Committee
This committee determines the compensation of the top management and reviews their performance. It also reviews the performance against predetermined targets, agrees on annual performance rewards (subject to the Board’s approval) and determines the terms of engagement for independent directors.
The Board HSE Committee
This committee approves the HSE strategy and policy and also reviews the company’s HSE performance against predetermined targets. In addition, it monitors major HSE risks as well as compliance with the relevant laws and corporate business policies related to HSE.
